These Terms & Conditions (“Agreement”) govern the catering services provided by Ciago Gourmet Catering LLC (“Ciago,” “we,” “our,” or “us”) to you (“Client”). By signing a proposal, paying a deposit, or confirming a booking, the Client agrees to this Agreement.
1. Services & Proposal
1.1 Ciago will provide catering services (“Services”) as described in the proposal or invoice for the Client’s event (“Event”).
1.2 Client agrees to the menu, guest count, event time, and details specified in the proposal.
1.3 Any additional items, services, or changes requested by the Client may result in additional charges.
2. Payment & Deposits
2.1 A non-refundable deposit is required to secure the Event date.
2.2 The remaining balance is due no later than 14 days before the Event unless otherwise stated.
2.3 Failure to submit payment by the deadline may result in cancellation without refund of the deposit.
2.4 Accepted payment methods: credit card, bank transfer, or other approved methods.
2.5 All prices are subject to applicable sales tax.
3. Guest Count & Minimums
3.1 Client must provide a guaranteed guest count (“Guaranteed Count”) at least 7 days before the Event.
3.2 Final billing will be based on the Guaranteed Count. If fewer guests attend, no refund is provided.
3.3 If attendance exceeds the Guaranteed Count, additional charges will apply.
3.4 Ciago may require minimum guest counts or minimum order amounts.
4. Amendments & Menu Changes
4.1 Any menu or service changes must be submitted in writing and approved by Ciago.
4.2 Changes requested within 7 days of the Event may not be possible or may incur surcharges.
4.3 Ciago reserves the right to substitute comparable items if a menu item becomes unavailable due to supply issues.
5. Cancellation & Postponement
5.1 The deposit is non-refundable under all circumstances.
5.2 If the Client cancels the Event more than 14 days before the Event date, only the deposit is forfeited.
5.3 If the Client cancels within 14 days of the Event, the Client is responsible for 100% of the total cost, as food and labor preparations begin ahead of time.
5.4 If the Client requests to postpone the Event, Ciago will attempt to accommodate a new date. If a new date is not available, cancellation terms above will apply.
6. Venue & Setup Requirements
6.1 Client must provide safe, timely access to the venue, including necessary utilities such as electricity, lighting, and water (if applicable).
6.2 Ciago is not responsible for delays or additional fees caused by venue restrictions, late access, or inadequate facility conditions.
6.3 Additional time needed due to venue or client delays may incur overtime charges.
7. Service Time & Staffing
7.1 Ciago will provide staffing based on the service agreement.
7.2 Additional staff or extended service time requested by the Client will result in additional fees.
7.3 Ciago’s staff will leave once food service is complete unless otherwise arranged.
8. Dietary Restrictions & Allergies
8.1 Client must notify Ciago of any dietary restrictions or allergies at least 7 days before the Event.
8.2 Ciago will make reasonable efforts to accommodate dietary needs but cannot guarantee the absence of cross-contamination.
8.3 Client acknowledges that guests consume food at their own risk.
9. Liability & Insurance
9.1 Ciago maintains general liability insurance for its operations.
9.2 Ciago is not liable for damages, losses, or injuries arising from:
- actions or negligence of the Client, venue, or third-party vendors
- weather conditions or force majeure events
- food items brought by the Client or other vendors
9.3 Client agrees to indemnify Ciago against claims arising from Client negligence or venue issues.
10. Force Majeure
10.1 Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including severe weather, acts of government, power outages, or supply shortages.
10.2 Payments made up to the point of cancellation remain non-refundable.
11. Taxes, Gratuities & Fees
11.1 All applicable taxes will be added to Client invoices.
11.2 Gratuities for staff are appreciated but not included unless specified in the proposal.
11.3 Additional fees (travel, setup, equipment, special requests) may apply as noted in the proposal.
12. Payment Disputes & Chargebacks
12.1 Client must report any invoice discrepancies or concerns within 5 days of the final invoice or the Event date, whichever comes first.
12.2 Client agrees to contact Ciago directly to resolve any issue before initiating a chargeback with their bank or payment processor.
12.3 If a chargeback is filed without giving Ciago an opportunity to resolve the matter, the Client will be responsible for:
- Chargeback fees imposed by the payment processor
- The outstanding balance for services rendered or prepared
- Any administrative or collection costs incurred
12.4 Chargebacks for services that were delivered, prepared, or fulfilled according to the agreement will be considered invalid.
13. Governing Law
This Agreement is governed by the laws of the State of Texas. Any legal disputes shall be resolved in Collin County, Texas.
14. Entire Agreement
This Agreement, including the proposal and any written add-ons, constitutes the entire understanding between Ciago and the Client.
